1. Definitions

In these Terms and Conditions:

• "Company" refers to Kaiping Ceris Fluid Technology Co., Ltd.
• "Products" refers to rubber hoses, fluid transfer systems, and related components manufactured or supplied by the Company.
• "Customer" refers to any individual or entity purchasing Products from the Company.
• "Agreement" refers to the binding contract formed when a Customer accepts a quote or places an order.

2. Products and Services

Ceris Fluid specializes in manufacturing high-quality rubber hoses and fluid transfer systems for automotive, industrial, and construction applications. All product specifications, including materials, dimensions, and performance parameters, are as described in our official product documentation. Customization services are available upon request and subject to technical feasibility assessment.

3. Orders and Payment

Orders are subject to acceptance by the Company. Payment terms are specified in the proforma invoice or sales contract. Accepted payment methods include T/T (bank transfer), L/C (letter of credit), and other methods as agreed. Prices are quoted in USD or RMB and are exclusive of applicable taxes, shipping, and insurance unless otherwise stated.

4. Shipping and Delivery

Delivery dates are estimates and not guaranteed. The Company is not liable for delays caused by force majeure events, including but not limited to natural disasters, strikes, or supply chain disruptions. Shipping terms are typically FOB (Free on Board) or as agreed in the sales contract. Risk of loss transfers to the Customer upon delivery to the carrier.

5. Warranty and Returns

Products are warranted against defects in materials and workmanship for a period of 12 months from the date of delivery. This warranty does not cover normal wear and tear, misuse, or modifications not authorized by the Company. Claims must be submitted in writing within 30 days of discovering the defect. The Company's liability is limited to repair, replacement, or refund at our discretion.

6. Limitation of Liability

To the maximum extent permitted by law, the Company's total liability for any claim related to Products or services shall not exceed the amount paid by the Customer for the specific Product giving rise to the claim. The Company shall not be liable for indirect, consequential, or punitive damages, including loss of profits or business interruption.

7. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the People's Republic of China. Any dispute arising out of or relating to these terms shall be subject to the exclusive jurisdiction of the courts in Jiangmen City, Guangdong Province, China.
